NeoVolta acquires Neubau Energy assets to scale battery storage business

NeoVolta (NASDAQ:NEOV [https://seekingalpha.com/symbol/NEOV]) has announced the signing of an asset purchase agreement [https://seekingalpha.com/pr/20259878-neovolta-expands-portfolio-with-neubau-energy-acquisition-targeting-higher-revenues-and] for Neubau Energy's next-generation modular battery platform.

Financially, NeoVolta paid $500,000 in cash and issued 200,000 restricted common shares upfront. The deal also includes a $10 per-unit royalty on each neuClick Battery Module sold for three years, along with the potential for up to 4 million additional restricted shares if specific Neubau-related revenue milestones are achieved by the end of 2028.

NeoVolta has acquired Neubau to integrate its advanced, patented battery architecture with NeoVolta's growing distribution channels.

Neubau's flagship systems, known for their 30-minute installation time, will soon be available under the NeoVolta brand. This massive efficiency gain is expected to cut deployment costs by up to 75% and open up new distribution channels and installer networks for the combined company.

The deal, which was finalized on October 1, 2025, is expected to close by October 15 and is projected to be immediately accretive to both revenue and gross margins.

Following the deal, NeoVolta appointed Amany Ibrahim as Chief Operating Officer and Thomas Enzendorfer as Chief Technology Officer. The company's former COO, Michael Mendik, will continue his tenure, shifting his focus to Chief Product Officer.

Additionally, the move provides a manufacturing base in Austria, which is expected to lessen exposure to 2026 tariffs.
