According to a September 17 filing, Metaplanet (TYO: 3350, OTCQX: MTPLF) has established Metaplanet Income Corp., a wholly-owned US subsidiary dedicated to its Bitcoin Income Generation Business, following the receipt of ¥212.9 billion ($1.44 billion) from its upsized international equity offering. Funds were transferred to the company on September 16, with new shares credited on September 17.

The board approved the Miami-based unit under Metaplanet Holdings, Inc., injecting an initial $15 million in capital. Metaplanet Income Corp. will oversee derivatives operations and related income-generating activities, creating a clear separation from the company’s core Bitcoin treasury operations.

Metaplanet sold 385 million new shares at ¥553 (~$3.75) each in early September, upsizing from an initial 180 million shares to meet strong demand. The offering closed September 9, raising gross proceeds of ¥212.9 billion (net ¥205.4 billion) aimed at bolstering the company’s Bitcoin holdings and scaling its income generation platform.

Proceeds are earmarked for Bitcoin purchases between September and October and to expand the income-generation business launched in Q4 2024, which has delivered steady revenue and net income since inception. Metaplanet expects the Miami subsidiary’s launch will have no material impact on full-year 2025 results.

Metaplanet was down 1.1% during Tokyo’s trading session.
