Rumble to buy German AI firm Northern Data for $767 million in an all-stock transaction

Video platform Rumble (RUM [https://seekingalpha.com/symbol/RUM]) is set to acquire German AI cloud company Northern Data (OTC:NDTAF [https://seekingalpha.com/symbol/NDTAF]) in an all-stock deal valued at about $767 million.

Northern Data shareholders will receive 2.0281 newly issued Class A shares of Rumble per Northern Data share, resulting in them owning approximately 30.4% of Rumble (RUM [https://seekingalpha.com/symbol/RUM]) after the deal completes.

The deal includes a $150 million GPU leasing agreement with cryptocurrency firm Tether, which owns 48% of Rumble, and $200 million in tax liability support from Rumble.

The deal is expected to close by Q2 2026. Northern Data will delist from the stock exchange after completion of the transaction.

Rumble will also acquire 22,400 Nvidia (NVDA [https://seekingalpha.com/symbol/NVDA]) GPUs following deal completion. Tether, which invested $775 million in the video platform in December last year, also agreed to become an anchor customer of the combined group.
