Boeing seeks EU clearance for $4.7B Spirit AeroSystems deal

Boeing (NYSE:BA [https://seekingalpha.com/symbol/BA]) formally requested approval from European Union regulators to reacquire Spirit AeroSystems (NYSE:SPR [https://seekingalpha.com/symbol/SPR]), according to filings published on the European Commission’s website. Spirit, the world’s largest independent manufacturer of aircraft structures, was originally spun off from Boeing (NYSE:BA [https://seekingalpha.com/symbol/BA]) in 2005.

The U.S. planemaker announced in July 2024 that it had struck a $4.7 billion all-stock agreement to bring Spirit (NYSE:SPR [https://seekingalpha.com/symbol/SPR]) back under its ownership. As part of the arrangement, Airbus (OTCPK:EADSF [https://seekingalpha.com/symbol/EADSF]) (OTCPK:EADSY [https://seekingalpha.com/symbol/EADSY]) would absorb Spirit’s (SPR [https://seekingalpha.com/symbol/SPR]) operations tied to its European programs, which have been running at a loss.

The European Commission is scheduled to deliver its ruling on the proposed transaction by September 30. Earlier this month, the UK Competition and Markets Authority cleared the deal, concluding that it did not warrant a deeper probe into potential antitrust concerns.
