FiscalNote announces 1-for-12 reverse stock split

* FiscalNote (NYSE:NOTE [https://seekingalpha.com/symbol/NOTE]) on Friday announced a 1-for-12 reverse stock split of its Class A and Class B common shares, effective at 4:30 p.m on August, 29.
* The Class A Common Stock will open for trading on the NYSE on a reverse split-adjusted basis on September 2, 2025, under the existing ticker “NOTE.”
* The new CUSIP number of the Class A Common Stock following the Reverse Stock Split will be 337655 302.
* Under the split, every 12 shares of common stock will be consolidated into one share. The reverse split will not affect the number of authorized shares or the par value of the stock.
* Each public and private warrant will become exercisable for approximately 0.131 shares at a per warrant price of $11.50, equivalent to an effective exercise price of $87.82 per share.
* No fractional shares will be issued. Instead, shareholders will receive cash for any fractional interests resulting from the split.
