Mr. Cooper stockholders approve merger with Rocket Companies

Mr. Cooper Group (NASDAQ:COOP [https://seekingalpha.com/symbol/COOP]) shareholders voted to adopt the company's merger agreement [https://seekingalpha.com/pr/20220233-mr-cooper-group-inc-stockholders-approve-merger-agreement-with-rocket-companies-inc] with Rocket Companies (NYSE:RKT [https://seekingalpha.com/symbol/RKT]), the company said on Wednesday.

As previously announced, [https://seekingalpha.com/news/4426812-rocket-cos-to-buy-mr-cooper-in-9_4b-all-stock-deal] under the agreement, Mr. Cooper (NASDAQ:COOP [https://seekingalpha.com/symbol/COOP]) stockholders are entitled to receive 11 shares of Rocket Cos. (NYSE:RKT [https://seekingalpha.com/symbol/RKT]) for each share of Mr. Cooper common stock held. Also, Mr. Cooper may declare and pay a dividend of $2 per share of Mr. Cooper common stock before the transaction.

Excluding the dividend, the deal values Mr. Cooper (NASDAQ:COOP [https://seekingalpha.com/symbol/COOP]) shares about $196.68 per share, or about 3.9% higher than COOP's price at Wednesday's close.

Completion of Rocket's (NYSE:RKT [https://seekingalpha.com/symbol/RKT]) acquisition of Mr. Cooper remains subject to the satisfaction or waiver of remaining closing conditions. The companies did not give an estimated closing date.

Mr. Cooper (COOP [https://seekingalpha.com/symbol/COOP]) stock edged down 0.1% and Rocket (RKT [https://seekingalpha.com/symbol/RKT]) stock ticked up 0.1% in after hours trading.
