Intuitive Machines prices upsized offering of $300M convertible senior notes

* Intuitive Machines (NASDAQ:LUNR [https://seekingalpha.com/symbol/LUNR]) priced [https://seekingalpha.com/pr/20200474-intuitive-machines-announces-upsize-and-pricing-of-private-offering-of-300-million-of] $300M aggregate principal amount of 2.500% convertible senior notes due 2030 in a private offering to qualified institutional buyers.
* Initial purchasers have a 13-day period to buy an additional $45M aggregate principal amount of notes.
* The aggregate principal amount of the offering was increased from the previously announced offering size of $250M.
* The notes offering is expected to close on August 18, 2025.
* The notes will accrue interest at an annual rate of 2.500%, payable semiannually in arrears on April 1 and October 1 of each year, beginning on April 1, 2026.
* Intuitive Machines estimates that the net proceeds will be approximately $291.8M, of which ~$32M will be used to pay the cost of the capped call transactions and the remainder for general corporate purposes.
* The stock price traded 9.6% lower on Thursday during pre-market hours of trading.
