Femasys stock falls after pricing capital raise of $8M via securities offering

Femasys (NASDAQ:FEMY [https://seekingalpha.com/symbol/FEMY]) has announced a public offering [https://seekingalpha.com/pr/20210917-femasys-announces-pricing-of-8_0-million-underwritten-public-offering] to raise approximately $8.0 million, by selling 10,434,586 shares of its common stock and pre-funded warrants as an alternative to common stock, which can be used to purchase up to 11,750,000 shares.

FEMY stock were down 16.5% in premarket trading on Tuesday.

Each share of common stock or pre-funded warrant comes with an accompanying common warrant, with total of 22,184,586 warrants being sold.

The standard combined price for a share of common stock and its accompanying warrant is $0.36. The combined price for a pre-funded warrant and its accompanying warrant is $0.3599.

The exercise price for most of the accompanying warrants is $0.36. A small portion of the shares (87,363) and accompanying warrants were sold to company officers at a higher price of $0.5151 each.

All warrants are immediately exercisable and will expire five years from the date of issuance.

Femasys intends to use the net proceeds from the offering for expansion of commercial efforts, development of its products and product candidate, general corporate purposes, capital expenditures, working capital and general and administrative expenses.

All the securities are to be sold by the company.

The offering is expected to close on or about August 27, 2025.
