Voyager Technologies prices $435M convertible debt offering

Voyager Technologies (VOYG [https://seekingalpha.com/symbol/VOYG]) announced [https://seekingalpha.com/pr/20298452-voyager-technologies-inc-prices-upsized-435_0-million-convertible-senior-notes-offering]the pricing of a $435 million private offering of convertible senior notes due 2030, upsized from the previously planned $300 million.

The notes are expected to settle on November 12, 2025, pending customary conditions. Voyager also granted the initial purchasers an option to buy up to an additional $65 million in notes to cover over-allotments.

The notes will be senior, unsecured obligations, carrying an interest rate of 0.75%, payable semi-annually. They will mature on November 15, 2030, unless converted, redeemed, or repurchased earlier.

The initial conversion rate is 32.2799 shares of Voyager Class A common stock per $1,000 principal amount, equivalent to a conversion price of about $30.98 per share — a 30% premium over Voyager’s November 6 closing price of $23.83.

Voyager expects net proceeds of about $423.2 million (or $486.6 million if the option is fully exercised) and plans to use: $63.1 million for capped call transactions, $27.7 million to repurchase 1.16 million shares of Class A stock at $23.83 per share, $131.1 million for a prepaid forward transaction, and the remaining funds for general corporate purposes.
