Advent to acquire Sapiens for $2.5 billion in all-cash deal

Investing.com -- Private equity firm Advent has agreed to acquire insurance software provider Sapiens International Corporation N.V. (NASDAQ:SPNS) for $2.5 billion in an all-cash transaction.

Under the terms of the agreement, Sapiens shareholders will receive $43.50 per share, representing a 64% premium over the company’s closing price of $26.52 on August 8, 2025.

The transaction, which has been unanimously approved by Sapiens’ Board of Directors, is expected to close in Q4 2025 or Q1 2026, subject to shareholder approval and regulatory clearances.

Existing Sapiens shareholder Formula Systems (1985) Ltd (NASDAQ:FORTY). will retain a minority stake in the company following the acquisition.

The acquisition aims to accelerate Sapiens’ innovation in SaaS-based insurance solutions. Once the transaction is completed, Sapiens will become a privately held company and its shares will no longer be publicly listed.

Advent has secured committed debt and equity financing for the transaction, including an equity contribution of $1.3 billion.

William Blair & Company is serving as financial advisor to Sapiens, while Citi is advising Advent on the transaction.
