Plymouth Industrial agrees to be acquired by Makarora for $2.1B

Entities tied to Makarora Management, along with Ares Alternative Credit funds, have agreed to acquire [https://seekingalpha.com/pr/20279361-plymouth-industrial-reit-announces-agreement-to-be-acquired-by-makarora-for-2_1-billion] all outstanding shares of Plymouth Industrial REIT (NYSE:PLYM [https://seekingalpha.com/symbol/PLYM]) in all all-cash deal valued at about $2.1B, Plymouth said on Friday.

All outstanding shares of Plymouth (NYSE:PLYM [https://seekingalpha.com/symbol/PLYM]) and all outstanding limited partnership interests of Plymouth Industrial OP, LP will be purchased for $22.00 per share.

Plymouth (NYSE:PLYM [https://seekingalpha.com/symbol/PLYM]) said it plans to conduct a 30-day go-shop period that will expire Nov. 23, 2025, which permits the company and its financial advisors to actively initiate, solicit and consider alternative acquisition proposals from third parties.

The purchase price represented a ~50% premium to Plymouth’s unaffected closing common stock price on Aug. 18, 2025, the last trading day prior to the filing by affiliates of Sixth Street Partners disclosing a non-binding proposal to acquire all the outstanding shares of Plymouth’s common stock.

PLYM closed Friday's trading session at $22.07 per share, before slipping 1.3% in after-hours trading.

The deal is expected to close early next year, subject to approval by PLYM shareholders.
